DIFC or ADGM?

DIFC or ADGM? Answer five questions.

The two centres are more alike than most comparisons admit: both are common-law financial free zones with full foreign ownership, no minimum capital and independent English-language courts. The choice turns on a handful of things. This tool weighs them and gives you a steer, with the reasoning — not a sales pitch.

1. Which legal framework do your key documents and investors expect?

Shareholders' agreements, lending documents and investor terms often assume one.

2. Where do your assets, banking and advisers mainly sit?

3. What are you setting up?

Both centres offer most vehicles, so this mainly tells us which comparison matters.

4. Do international lenders or co-investors expect a familiar English-law forum?

5. Does your group's existing banking relationship sit in Dubai?

In a close call, banking is often what settles it.

Frequently asked questions

Is the DIFC or the ADGM better?

Neither is better in the abstract. They are both common-law financial free zones with full foreign ownership, no minimum capital and independent English-language courts. The right choice turns on where your assets, banking and advisers sit, whether your documents assume English law, and the specific vehicle you need — which is exactly what this tool weighs.

Does the choice change my tax position?

No. Both centres sit inside the same UAE federal corporate-tax regime, so neither gives a better tax outcome on its own. Tax turns on what the entity does and how the wider structure is arranged, not on which centre it is registered in.

Do both centres offer foundations and SPVs?

Yes. Both have a foundation (the DIFC Foundation and the ADGM Foundation) and a light holding vehicle (the DIFC Prescribed Company and the ADGM SPV). The vehicles are closely equivalent, so the centre choice usually comes down to ecosystem and documentation rather than the vehicle itself.

Which centre is cheaper?

Costs in the two centres are similar in shape, and neither is categorically cheaper. The figure that matters depends on the vehicle, the activity and the ongoing obligations, so a like-for-like comparison only makes sense for your specific case — we will set it out when we understand what you are building.

Can I move between the DIFC and the ADGM later?

In many cases yes — a company can often be continued (redomiciled) from one common-law centre to another without liquidating and re-forming, subject to the rules of both registries. It is better to choose well at the outset, but the decision is not necessarily permanent.
